FTC Approves Penn National Gaming’s $2.8-Billion Acquisition of Fellow Casino Company
The US Federal Trade Commission (FTC) approved earlier this week Penn National Gaming’s previously announced purchase of fellow casino operator Pinnacle Entertainment in a deal valued at $2.8 billion. However, the two companies are now required by the FTC to divest casino assets in three Midwestern cities within ten days after the completion of the acquisition deal.
The FTC said in a statement from Monday that it believes the merger of the two major companies would have a negative impact on competition for casino gambling services in the cities of St. Louis, Missouri; Kansas City, Missouri; and Cincinnati, Ohio. As a result the merged company will have to divest its casino assets in the three cities to fellow gaming and hospitality operator Boyd Gaming.
Pinnacle has previously agreed to sell four properties to Boyd Gaming. The latter will pay $575 million in cash for the casinos.
Following the FTC’s approval, Penn National Gaming said that it expects to complete the acquisition of Pinnacle early in the fourth quarter of the year. The deal has received the necessary approvals from 13 gambling regulators. It was also overwhelmingly approved earlier this year by both Penn National Gaming and Pinnacle shareholders.
A Flurry of Consolidation Deals
Penn National Gaming and Pinnacle first announced their plans to merge their operations in a deal valued at around $2.8 billion last winter. The transaction is expected to create a behemoth casino gaming company with approximately 53,500 slot machines, 1,300 table games, and 8,300 hotel rooms in a number of jurisdictions across the United States.
After the deal’s completion, Penn National Gaming will own 78% of the combined entity, while Pinnacle will own the remaining 22% stake. The consolidation is expected to create around $100 million in annual cost savings and to add to Penn National Gaming’s free cash flow during the first year.
Caesars Entertainment Corp. also jumped on the consolidation bandwagon shortly after it emerged from a lengthy bankruptcy case last fall. The company announced that it would buy Indiana-based gaming company Centaur Holdings in a deal valued at $1.7 billion. The transaction was completed this past July and saw Caesars add Centaur’s Hoosier Racing and Casino and Indiana Grand Racing and Casino properties to its portfolio and thus extend its footprint in the lucrative Indiana gaming market.
The likes of Penn National Gaming, Eldorado Resorts, and Caesars (as well as the companies they have recently combined with or are to combine with in the coming weeks/months) have been driven by fairly similar reasons to undertake consolidation moves. Growing competition in the sector, the legalization of casino gambling in several states over the past several years, and the impact of online gambling on land-based casinos have been some such reasons for the wave of M&A deals in the space.

Austin Farmer Wins Debut WSOP Circuit Gold Ring at Horseshoe Southern Indiana
Austin Farmer fell sick during the WSOP Circuit Seminole Casino Coconut Creek stop a couple of weeks ago and could not really play poker there. However, he was the star of the $600 No-Limit Hold’em Six Max Big Blind Ante tournament at Horseshoe Southern Indiana last night, taking down the event for his first WSOP Circuit gold ring and a cash prize of $23,648.
Farmer had bronchitis throughout the whole Coconut Creek stop which kept him off the poker tables most of the time. He was not really planning to attend the Horseshoe Southern Indiana at first, but a friend of his encouraged him to join poker festivities at the riverboat casino for a shot at a gold ring and some prize money.
Farmer, a 22-year-old player from North Chesterfield, Virginia, outsmarted a field of 164 players in the $600 buy-in Six Max tournament to collect his debut WSOP Circuit title. The tournament kicked off Monday at the host venue. The field of 164 entries generated a prize pool of $84,451, but only the top 18 would get a share of the money.
Day 1 of the event ended with just 16 players from the original field. It was namely Farmer to amass the largest chip stack throughout the day, bagging a total of 639,000 in the end.
Day 2 Highlights
The eventual champion pretty much kept his hold of the chip lead throughout the final day of play. He entered the unofficial seven-handed final table as the player to hold the top stack and as the only one to have broken through the one million mark. Cruse, who started the day second in chips, was still on Farmer’s tail with 930,000. Cruse’s run in the tournament ended when the player was eliminated in third place for $10,495.
That left it to Farmer and William Davis to determine the eventual winner. It was a tough heads-up duel, but Farmer still managed to maintain his chip lead and to eventually collect every single chip on the table. Davis collected $14,619 for his efforts and deep run into the tournament.
In his post-victory interview, Farmer said that he had driven eight and a half hours to get to the Horseshoe Southern Indiana and take part in the ongoing WSOP Circuit stop. The long drive was clearly worth it.

Dave Potter Grabs First WSOP Circuit Gold Ring at Horseshoe Southern Indiana
Dave Potter from Louisville, Kentucky claimed his first WSOP Circuit cash in nine years after besting the field of Event #4 last night. The player took down the $400 buy-in No-Limit Hold’em Big Blind Ante for a first-place prize of $13,490 and his first gold ring from the series.
The event started on September 30 at the host venue and was played over two days to be completed last night with Potter claiming the gold. It drew 146 entries who created a prize pool of $48,174 up for grabs. The top 15 places got paid. Min-cashes were worth $813 and Nick Blackburn was the first player to collect prize money from the tournament.
Day 1 of the tournament was put an end to when the money bubble burst. Bagging and tagging for the night, there were 15 players at that point still in contention. Brian Sanders was the chip leader at the end of Day 1 with 263,000. The player maintained his momentum into Day 2, but was eventually eliminated in third place, good for $6,018.
Day 2 Action and Comments from the Champion
The start-of-the-day chip leader Sanders was second in chips at the start of the unofficial final table action with 361,000. Potter was in the top half of the leaderboard in that stage of the tournament and little did he know that he would soon be crowned the victor.
The 62-year-old recreational player eventually faced Kenneth Baime heads-up to scoop the title and the gold ring shortly after. It was in 2009 when Potter last cashed in a WSOP Circuit tournament. And that happened namely at Horseshoe Souther Indiana.
In his post-victory interview, the latest WSOP Circuit champion said that he visits the host casino at least twice a week and that he is usually accompanied by his wife, whom he gave credit to as the couple’s better poker player.
The Big Blind Ante tournament was the fourth one on the schedule of the ongoing WSOP Circuit Southern Indiana stop, which means that there are eight more gold ring up for grabs within the festival. Horseshoe Southern Indiana will play host to the popular poker series all the way through October 8.
